These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, products, software, content, features, rewards programs, surveys, AI training opportunities, and related services offered by Voiceform INC d/b/a Total (“Company,” “Total,” “we,” “our,” or “us”), including the websites located at www.totaltask.ai and the Total mobile applications (collectively, the “Service”).

By accessing, browsing, registering for, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Service.

We may update or modify these Terms at any time by posting revised Terms on the Service. Your continued use of the Service after updated Terms become effective constitutes your acceptance of the revised Terms.

1. Description of Service

Total is a digital marketplace and consumer insights platform through which users may participate in:

online surveys;
research studies;
AI training tasks;
data labeling and annotation projects;
transcription and moderation tasks;
voice recording and speech collection tasks;
app testing, usability testing, and software testing tasks;
benchmarking and evaluation tasks;
content review activities;
market research opportunities;
and other digital earning opportunities

(collectively, “Tasks”).

Tasks may be offered directly by the Company or by third-party providers, research firms, advertisers, enterprise customers, AI companies, or other partners (“Task Providers”).

Certain Tasks may involve training, evaluating, testing, improving, benchmarking, moderating, or validating artificial intelligence (“AI”) systems, machine learning models, automated systems, or related technologies.

By participating in AI-related Tasks, you acknowledge and agree that your submissions, annotations, prompts, responses, recordings, evaluations, rankings, labels, feedback, and other work products may be used to develop, train, evaluate, benchmark, moderate, improve, or operate AI systems and related technologies.

2. Eligibility

You must be at least eighteen (18) years old to create an account or participate in any Tasks through the Service.

The Service is not intended for individuals under the age of eighteen (18), and we do not knowingly collect personal information from such individuals.

By using the Service, you represent and warrant that:

you are at least eighteen (18) years old;
you have the legal capacity to enter into these Terms;
all information you provide is accurate and complete;
your use of the Service does not violate any applicable law or regulation.

We reserve the right to request identity verification at any time.

3. User Accounts

To access certain features of the Service, you may be required to create an account.

You agree to:

provide accurate and complete registration information;
maintain and promptly update your information;
maintain the security of your credentials;
accept responsibility for all activity occurring under your account.

You may not:

create multiple accounts;
share your account credentials;
transfer your account to another person;
use another user’s account;
access the Service after suspension or termination.

One Account Per User

You may maintain only one (1) account on the Service unless expressly authorized in writing by the Company.

Multiple accounts created or controlled by the same individual, household, device, payment method, IP address, phone number, identity, or other associated identifiers may be considered duplicate accounts.

The Company reserves the right to:

suspend, merge, restrict, or terminate duplicate accounts;
revoke rewards or compensation associated with duplicate accounts;
offset balances between related accounts;
permanently prohibit future participation in the Service.

Attempts to circumvent suspensions, bans, geographic restrictions, Task eligibility requirements, or platform limitations through the creation of additional accounts are strictly prohibited.

We may suspend, restrict, terminate, disable, permanently ban, or delete your account at any time and for any reason at our sole discretion.

We may also remove your access to specific Tasks, projects, Rewards Programs, customers, or platform features without prior notice.

Reasons for suspension or termination may include, without limitation:

suspected fraud or abuse;
low-quality submissions;
policy violations;
customer complaints;
use of unauthorized automation tools or AI systems;
identity verification failures;
suspicious payment activity;
manipulation of Task systems;
multiple account creation;
use of VPNs or location spoofing tools;
violation of applicable law;
inactivity;
security concerns;
breach of confidentiality obligations.

Upon suspension or termination, the Company may:

revoke access to the Service;
cancel pending Tasks;
reverse or withhold compensation;
forfeit rewards balances;
place restrictions on future participation;
retain records associated with the account where permitted by law.

4. Surveys and Tasks

The Service may present you with Tasks that you may voluntarily complete.

Task availability may depend on:

geographic location;
demographics;
language skills;
identity verification;
quality metrics;
customer requirements;
fraud and compliance screening;
device or platform compatibility.

We do not guarantee:

eligibility for any Task;
availability of Tasks;
successful completion of Tasks;
any minimum level of compensation or earnings.

Task Providers may remove, terminate, or reject participation in any Task at any time for any reason.

If a Task is rejected, terminated, flagged for quality concerns, or otherwise deemed invalid, you may not receive compensation.

5. AI Training and Data Labeling Tasks

Certain Tasks may involve AI systems, machine learning models, automated moderation systems, generative AI technologies, speech recognition systems, voice synthesis systems, software testing platforms, mobile applications, or related technologies (“AI Tasks”).

By participating in AI Tasks, you acknowledge and agree that:

your submissions may be used to train, evaluate, benchmark, moderate, improve, test, or validate AI systems;
your work product may be reviewed by automated systems, Company personnel, customers, researchers, contractors, or third-party partners;
Task Contributions may become incorporated into datasets, machine learning systems, or derivative technologies;
Task Contributions may not be removable once integrated into AI systems or datasets;
AI-generated content may be inaccurate, offensive, biased, incomplete, or otherwise unsuitable;
the Company makes no guarantees regarding the accuracy or reliability of AI-generated materials.

You further agree that:

you will follow all Task instructions;
you will not intentionally provide misleading, abusive, low-quality, or fraudulent responses;
you will not use unauthorized automation tools or AI systems to complete Tasks unless expressly permitted.

6. Task Contributions and Intellectual Property

“Task Contributions” means any submissions, annotations, labels, prompts, recordings, voice samples, audio recordings, screenshots, screen recordings, rankings, evaluations, responses, data, content, app testing feedback, bug reports, usability feedback, or other materials you create, upload, provide, or submit through the Service.

Except where prohibited by law or otherwise stated in writing:

all Task Contributions shall be deemed works made for hire to the fullest extent permitted by law;
the Company and/or its partners shall own all right, title, and interest in all Task Contributions;
to the extent ownership does not automatically vest, you irrevocably assign all rights in Task Contributions to the Company.

You grant the Company and its affiliates, partners, successors, licensees, and customers a perpetual, irrevocable, worldwide, sublicensable, transferable, royalty-free license to:

use;
reproduce;
modify;
distribute;
publish;
display;
create derivative works from;
commercialize;
and otherwise exploit

Task Contributions for any lawful purpose, including AI training, research, product development, testing, advertising, operations, and commercial purposes.

You waive any moral rights or similar rights in Task Contributions to the fullest extent permitted by law.

You represent and warrant that your Task Contributions:

are original or lawfully submitted;
do not infringe third-party rights;
do not violate applicable law;
do not contain malicious code or harmful content.

7. Confidentiality

Certain Tasks may involve confidential, proprietary, commercially sensitive, or unpublished information (“Confidential Information”).

Confidential Information may include:

datasets;
prompts;
instructions;
screenshots;
recordings;
unreleased products;
customer information;
evaluation criteria;
AI model outputs;
unreleased applications or software features;
testing environments or beta applications;
workflows;
research materials.

You agree that you will not:

disclose Confidential Information;
copy or distribute Confidential Information;
post Task materials online;
share Task details on social media, forums, Discord, Reddit, GitHub, or similar platforms;
use Confidential Information outside authorized Tasks;
use Task materials to train external AI systems.

Your confidentiality obligations survive termination of your account.

8. Rewards and Compensation

The Company may offer rewards programs or compensation opportunities (“Rewards Programs”).

Compensation may include:

cash payments;
gift cards;
credits;
points;
rewards balances;
or other incentives.

We reserve the right to:

determine eligibility for compensation;
reverse payments;
withhold rewards;
claw back compensation;
deny redemption requests;
suspend participation in Rewards Programs.

Compensation eligibility may depend on:

quality reviews;
fraud screening;
customer approval;
project compliance;
geographic eligibility;
identity verification.

All redemption decisions are final.

Rewards are non-transferable.

Pending Compensation Reviews

The Company reserves the right to withhold pending compensation, rewards, withdrawals, or redemptions for a reasonable review period for fraud prevention, quality assurance, customer approval, compliance verification, payment processing, dispute resolution, or investigation purposes.

Compensation may remain pending until review processes are completed and eligibility is confirmed.

Negative Balances and Offsets

If the Company determines that rewards, payments, or compensation were issued in error, obtained fraudulently, associated with invalid or rejected Tasks, duplicated, reversed by customers, charged back, refunded, or otherwise improperly credited, the Company may:

reverse such payments or rewards;
deduct amounts from your existing balance;
place your account into a negative balance;
offset future earnings or rewards against outstanding negative balances;
suspend withdrawals or redemptions until the negative balance is resolved;
recover amounts through lawful collection methods where permitted by law.

You acknowledge and agree that the Company may adjust your account balance at any time to correct errors, enforce these Terms, address fraud or abuse, process customer reversals, resolve quality-control failures, or comply with legal obligations.

A negative balance does not obligate the Company to continue offering access to the Service or future earning opportunities.

Users may not delete, close, or request deletion of an account while the account has an outstanding negative balance, unresolved payment dispute, pending fraud investigation, chargeback, compliance review, or other unresolved financial obligation owed to the Company.

The Company may deny account deletion requests or retain account information as necessary to enforce these Terms, resolve disputes, prevent fraud, comply with legal obligations, or recover outstanding balances.

9. Inactive Accounts and Reward Expiration

Accounts inactive for ninety (90) consecutive days may be considered inactive and may be suspended or closed.

Any unredeemed rewards may be forfeited.

Rewards may expire one (1) year after being earned unless otherwise stated.

We reserve the right to modify expiration policies at any time.

10. Taxes

You are solely responsible for:

determining tax obligations;
reporting earnings;
paying taxes;
complying with applicable tax laws.

The Company does not provide tax advice.

11. Independent Contractor Relationship

Your participation in Tasks does not create any:

employment relationship;
agency relationship;
partnership;
joint venture.

Unless expressly stated otherwise in a separate written agreement:

you participate as an independent contractor;
you are not entitled to employee benefits;
you are solely responsible for taxes and reporting obligations.

The Company does not guarantee:

minimum earnings;
minimum hours;
future Task availability.

12. Prohibited Conduct

You agree not to:

provide false or misleading information;
impersonate another person;
create multiple accounts;
manipulate quality systems or payment systems;
use bots, scripts, macros, browser automation, AI systems, click farms, or automated tools unless expressly authorized;
submit plagiarized, duplicated, or machine-generated work where prohibited;
use VPNs, proxies, GPS spoofing, emulators, modified devices, or location-masking technologies to circumvent eligibility restrictions;
attempt to access unauthorized systems;
reverse engineer the Service;
scrape or harvest data;
distribute malware;
exploit vulnerabilities;
disrupt the Service;
violate applicable law;
use the Service for unlawful or fraudulent purposes.

Any violation may result in:

suspension;
termination;
forfeiture of compensation;
legal action.

13. Quality Assurance and Monitoring

We may monitor, audit, review, analyze, or record your use of the Service for:

quality assurance;
fraud prevention;
compliance;
safety;
research;
operational integrity;
customer requirements.

Monitoring may include:

Task reviews;
automated scoring;
behavioral analysis;
device integrity checks;
network analysis;
identity verification;
communication monitoring where permitted by law;
review of voice recordings, screenshots, or app testing sessions submitted through Tasks.

Failure to meet quality standards may result in:

Task rejection;
reduced access;
payment reversal;
suspension;
termination.

14. Third-Party Services

The Service may contain links to third-party websites, surveys, applications, products, or services.

Your use of third-party services is solely at your own risk and subject to the terms and policies of those third parties.

We are not responsible for:

third-party content;
third-party practices;
third-party privacy policies;
third-party products or services.

15. Intellectual Property

Except for user-submitted Task Contributions assigned under these Terms, all content and materials associated with the Service are owned by or licensed to the Company.

This includes:

software;
trademarks;
logos;
designs;
text;
graphics;
interfaces;
source code;
audiovisual content.

You may not:

reproduce;
distribute;
modify;
reverse engineer;
create derivative works from;
commercially exploit any part of the Service without prior written permission.

16. Modifications to the Service

We may modify, suspend, discontinue, or remove any aspect of the Service at any time without liability.

We are not liable for:

loss of access;
loss of Tasks;
lost earnings;
discontinued features.

17. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF:

MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
NON-INFRINGEMENT;
AVAILABILITY;
ACCURACY;
RELIABILITY.

WE DO NOT GUARANTEE:

CONTINUOUS AVAILABILITY;
ERROR-FREE OPERATION;
SECURITY;
TASK AVAILABILITY;
ACCURACY OF AI OUTPUTS;
COMPENSATION OPPORTUNITIES.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES DAMAGES RELATING TO:

LOST PROFITS;
LOST DATA;
LOST REWARDS;
ACCOUNT TERMINATION;
TASK REJECTION;
AI OUTPUTS;
THIRD-PARTY SERVICES;
BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

ONE HUNDRED U.S. DOLLARS (US $100);
OR THE TOTAL AMOUNT PAID TO YOU BY THE COMPANY IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

19. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates, officers, directors, employees, contractors, customers, partners, and agents from any claims, liabilities, damages, losses, costs, and expenses arising from:

your use of the Service;
your violation of these Terms;
your Task Contributions;
your violation of applicable law;
your infringement of third-party rights.

20. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY.

You and the Company agree that any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration on an individual basis.

You waive any right to:

participate in a class action;
participate in a class arbitration;
bring representative claims.

Arbitration shall be conducted in Florida unless otherwise required by applicable law.

Nothing in this section prevents either party from seeking injunctive relief for misuse of intellectual property or Confidential Information.

21. Termination

We may suspend or terminate your access to the Service at any time and for any reason.

Upon termination:

your right to access the Service ends immediately;
unredeemed rewards may be forfeited;
confidentiality obligations survive.

22. International Users

The Service may not be available in all jurisdictions.

You are solely responsible for complying with laws applicable to your location.

You may not use the Service if prohibited by applicable law.

23. Accessibility

Total is committed to accessibility.

24. Governing Law

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of laws principles.

Any disputes not subject to arbitration shall be brought exclusively in the state or federal courts located in Florida.

25. General Provisions

These Terms and the Privacy Policy constitute the entire agreement between you and the Company regarding the Service.

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

The Company may assign these Terms without restriction.

You may not assign your rights without prior written consent.

No waiver of any provision shall constitute a continuing waiver.
